LOCAL MODEL DOJO — END USER LICENSE AGREEMENT (EULA)
Version 1.0 — April 2026

THIS IS A LEGAL AGREEMENT. READ IT BEFORE USING THE SOFTWARE.

By installing, copying, or using Local Model Dojo ("the Software"),
you agree to be bound by this End User License Agreement ("EULA").
If you do not agree, do not install or use the Software and
request a refund per the terms below.

The Software is published by Average Joes Construction LLC, referred to below as "we", "us", or "the Company".

1. LICENSE GRANT
---------------------------------------------------------------
Upon valid payment for a subscription, we grant you a limited,
non-exclusive, non-transferable, revocable right to install and
use the Software on the number of devices, user accounts, and IP
networks specified in your active subscription tier.

You may not:
(a) share your license key with anyone outside your purchased
allowance,
(b) reverse-engineer, decompile, or attempt to derive source
code, except where such restriction is prohibited by
applicable law,
(c) redistribute, resell, sublicense, rent, or lease the
Software,
(d) remove or alter any copyright, trademark, or license notice,
(e) use the Software to violate the terms of service of any
third-party platform (including but not limited to online
games, AI providers, or operating systems).

The Software remains our property. You are purchasing a right to
use it under these terms, not the Software itself.

2. SUBSCRIPTION, FEES, AND REFUNDS
---------------------------------------------------------------
The Software is licensed on a recurring subscription basis.
Current pricing is published at https://localmodeldojo.com/pricing.

Refund policy:
- Within 14 days of first purchase AND fewer than 3 benchmark
runs submitted from your account: full refund on request.
- After 14 days: no automatic refund. We may at our discretion
issue a prorated refund for unused time.
- Annual and bulk plans: custom terms specified at checkout.

You may cancel your subscription at any time from the Stripe
customer portal linked inside the Software or at
https://localmodeldojo.com/account. Cancellation stops future billing
and revokes your license at the end of the current paid period.

3. AUTOMATIC UPDATES
---------------------------------------------------------------
The Software may download and install updates automatically in
order to deliver bug fixes, security patches, and new features.
You may disable automatic updates in the settings, but we strongly
recommend you do not, because disabling updates may leave your
installation vulnerable to known security issues.

4. WHAT THE SOFTWARE DOES TO YOUR COMPUTER
---------------------------------------------------------------
The Software, when you explicitly request it, will:
- Read your hardware configuration (CPU, GPU, RAM, disk)
- Download large language model files to a folder you select
- Apply Windows power-management and service changes (ONLY
when you check the corresponding box — never silently)
- Add itself and downloaded model folders to Windows Defender
exclusions (ONLY when you check the corresponding box)
- Run benchmark workloads against downloaded models

The Software will NOT:
- Read your personal files
- Record keystrokes, screenshots, or audio
- Make changes to your system without your explicit checkbox
- Transmit the contents of your computer anywhere

You can revert every system change the Software makes via the
"Revert all" button in the Efficiency tab.

5. THIRD-PARTY CONTENT

The Software downloads open-weight large language models from
third-party repositories (such as Ollama.com). Each model is
governed by its own license (Apache 2.0, MIT, Llama Community
License, etc.). We do not modify or redistribute those models; we
only facilitate their download and execution on your computer. You
are responsible for complying with each model's license.

The Software does NOT provide, host, or endorse any form of
automation that violates the terms of service of any online
platform or game.

6. PRIVACY

Our handling of your data is described in our Privacy Notice at
https://localmodeldojo.com/privacy. The Privacy Notice is
incorporated by reference into this EULA.

7. WARRANTY DISCLAIMER
---------------------------------------------------------------
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT
WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT.

We do not warrant that the Software will be uninterrupted,
error-free, or produce any particular benchmark result. Model
download speeds, inference speeds, and quality depend on your
hardware, network, and the third-party models themselves.

Some jurisdictions do not allow the exclusion of implied
warranties, in which case the exclusions above apply only to the
extent permitted by applicable law.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS,
REVENUE, DATA, OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT
(INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR
RELATING TO THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR
YOUR SUBSCRIPTION IN THE 12 MONTHS IMMEDIATELY PRECEDING THE
EVENT GIVING RISE TO THE CLAIM.

9. TERMINATION

This EULA remains in effect until terminated. It terminates
automatically if you materially breach it or cancel your
subscription. On termination you must stop using the Software and
uninstall it. Sections 5, 6, 7, 8, and 10 survive termination.

10. GOVERNING LAW
---------------------------------------------------------------
This EULA is governed by the laws of Oklahoma, without regard to its conflict-of-laws principles.
Any dispute arising from this EULA will be resolved in the state
or federal courts located in Oklahoma County, Oklahoma, and both
parties consent to personal jurisdiction there.

11. CHANGES

We may update this EULA from time to time. Material changes will
be emailed to you at least 30 days before taking effect, and you
can cancel and request a prorated refund within that window if you
disagree.
